Terms of Sale

These Terms of Sale (“Terms”) govern the sale of products by Big Tex Cellular (“Big Tex Cellular,” “we,” “us,” or “our”) to business buyers (“Buyer,” “you”). By requesting buyer access, placing an order, or purchasing from us, you agree to these Terms.

1. Wholesale, Business-to-Business Only

We sell exclusively to verified businesses for resale or business use. We do not sell to consumers. Access to pricing and inventory requires an approved buyer account. We may approve or decline any application at our discretion and may require business verification (such as tax ID and business registration).

2. Products and Grading

We sell used, pre-owned, and refurbished electronic devices, graded by cosmetic condition (New (In-Box), A2, B, C, and D). Each device is sold as described by its assigned grade. Cosmetic wear consistent with a device’s stated grade is normal and is not a defect. Carrier-locked devices, D-grade devices, and items sold “as-is” or in auction/carrier lots are sold without warranty. Availability is limited and subject to prior sale.

3. Pricing and Quotes

Pricing is wholesale and is provided to approved buyers. Prices, quotes, and offers are subject to change and to availability, and any quote is valid only for the period stated. Pricing depends on model, grade, quantity, and current stock.

4. Orders and Acceptance

An order is an offer to purchase. A binding sale is formed only when we confirm and accept the order. We may decline or cancel any order, including for pricing errors, unavailability, or suspected fraud.

5. Payment

Payment is accepted by wire transfer, ACH, or Zelle. Full payment must be received before an order ships. Title to products passes upon our receipt of payment in full.

6. Shipping, Risk of Loss, and International Orders

We ship from Dallas, Texas. Orders are packed device by device. Shipping insurance is available at the Buyer’s request. Shipping costs are paid by the Buyer, and the Buyer may arrange their own carrier or freight forwarder. Risk of loss passes to the Buyer upon delivery to the carrier, whether or not the Buyer elects insurance. We ship worldwide; for international orders, the Buyer is the importer of record and is solely responsible for all import duties, taxes, customs clearance, and compliance with the laws of the destination country.

7. Inspection, Warranty, and Returns

Buyer should inspect all devices promptly on receipt. Eligible devices — excluding carrier-locked, D-grade, and as-is or auction/carrier-lot devices — carry a 30-day limited warranty against functional defects from the date of delivery. To make a claim, report the issue within 30 days of delivery with supporting photos and a Phonecheck report; the device must be returned factory reset. The warranty does not cover physical damage or water damage. Carrier-locked, D-grade, and as-is or auction/carrier-lot devices are sold without warranty and are not eligible for return. Approved returns require a return authorization from us.

8. Limited Warranty; Disclaimer

Except for the 30-day limited warranty on eligible devices described in Section 7, products are provided “as-is” and “with all faults.” To the maximum extent permitted by law, we disclaim all other warranties, express or implied, including implied warranties of merchantability and fitness for a particular purpose.

9. Limitation of Liability

To the maximum extent permitted by law, our total liability for any claim arising out of or relating to a sale will not exceed the amount you paid for the product(s) at issue. We will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits.

10. Compliance and Resale

You are responsible for complying with all laws applicable to your purchase and resale of the products, including in the destination country.

11. Intellectual Property

All content on the Site, including text, graphics, logos, and the Big Tex Cellular name and marks, is our property or used with permission and may not be used without our written consent.

12. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles. Any dispute will be brought exclusively in the state or federal courts located in Collin County, Texas.

13. Changes to These Terms

We may update these Terms from time to time. The version in effect at the time of your order applies.
